Board of Directors Meeting – Conference Call
April 4, 2011


1. Meeting called to order at 7:05 p.m., EST by President Mark Weber.

2. Roll call, members present: D. Augustine, E. Dawe, K. Ellison, F. Hauenstein, D. Kanfoush, C. Fairchild, S. Hearn, C. Strang, M. Weber, M. Wheeler, D. Berghauer and S. Greaves. A quorum was established. Also in attendance: L. Allen, Treasurer and G. Urbin. Category Chairmen: A. Allen, D. Squires, T. Sutherland – Region Chairmen: C. Callahan, P. Gleason, A. Shaw – Council-at-Large: P. Anderson, S. Fitts, J. Meyer, J. Titus.

3. A moment of silence was observed for recent passing of Steve Warnock and Nancy Dewald.

4. Motion duly made by K. Ellison and 2nd to approve the minutes of the March 1, 2011 and March 10, 2011 Board of Directors’ meetings held by conference calls. Motion passed.

5. Region 6 By-Laws: Motion duly made by S. Hearn and 2nd to approve Inboard By-Law Change: Add to Article 10 -- B) Boat owner must reside in boundaries of Region Six. Motion passed.

6. MOD Rule Changes: Motion duly made by E. Dawe and 2nd to approve MOD Rule Changes as follows:
Rule Change #1 -- Rule 22.1.G) Remove and replace with: There shall be no other Modified Outboard race sanctioned within the same geographic division on the same dates as a Modified Outboard National Championship. There shall be no other Modified Outboard class or classes sanctioned within the same geographical division on the same date as a Modified Outboard Divisional unless the Modified Outboard chair has written approval from the race director of the club hosting the Divisionals and the race director of the club with the conflicting race.
Rule Change #2--Rule 18.3.C) Add following to end of current rule: Prototype status shall be reviewed annually by the MORC.
Rule Change #3--Rule 18.3.B) Delete Subsection 1 and replace Subsection 2 to read as follows: The motor would be available within 45 days of placement of a bona fide order.
Motion passed.

7. Digital Technology Project: Motion duly made by M. Wheeler and 2nd to approve: President Weber to enter APBA into a three-year contract with Crown Partners as detailed in the Statement of Work (and clarifications) from Crown Partners. The contract shall begin in fall 2011. The exact beginning date will be determined based on APBA's cash flow. Discussion followed clarifying financials, technological aspects and benefits to membership and APBA Headquarters. Roll Call Vote was taken: Augustine-aye, Dawe-aye, Ellison-aye, Hauenstein-aye, Kanfoush-aye, Fairchild-aye, Hearn-abstain, Strang-aye, Wheeler-aye, Berghauer-aye, Greaves-aye. Motion passed.

8. Other Matters:
a) Formula 4 Spec Boat Project – C. Fairchild remains in contact with Jason Neri monitoring project.
